Terms and Conditions (AGB)

1. Scope

These General Terms and Conditions (GTC) apply to all contracts, deliveries, and services between Zinckon Universal GmbH i.G (hereinafter “Zinckon”, “we”, “our”) and its customers, unless expressly agreed otherwise in writing.

These conditions apply exclusively to business customers (B2B). Any terms and conditions of the customer that conflict with or deviate from our GTC will not be recognized unless expressly agreed to in writing.

2. Conclusion of Contract

Our offers are non-binding and subject to change. A contract is only concluded when we confirm the customer’s order in writing or by email or upon delivery of the goods.

3. Prices and Payment Terms

  • All prices are net prices in EUR, excluding statutory VAT, packaging, and shipping costs unless otherwise stated.

  • Payment is due within 14 days from the date of invoice, unless otherwise agreed in writing.

  • In the event of default in payment, Zinckon is entitled to charge statutory interest and withhold further deliveries.

4. Delivery and Transfer of Risk

    • Delivery dates are approximate and non-binding unless expressly guaranteed.

    • Delivery is made ex-warehouse. Risk passes to the customer upon handover to the carrier.

    • Delays caused by force majeure, transport delays, or supplier failures shall entitle us to a reasonable extension of delivery times.

5. Retention of Title

Goods remain the property of Zinckon until full payment is received. Resale before full payment is only permitted within the normal course of business. In such cases, the customer assigns claims arising from resale to us.

6. Warranty

  • The customer must inspect the goods immediately upon receipt and report any defects within 5 working days.

  • In the case of justified complaints, we may, at our discretion, provide replacement, repair, or credit.

  • Warranty claims expire 12 months after delivery.

7. Limitation of Liability

Zinckon shall be liable only for damages arising from intent or gross negligence. Liability for indirect or consequential damages, especially lost profits or production downtime, is excluded unless required by law.

8. Compliance and Use

The customer is solely responsible for ensuring that the goods are suitable for the intended purpose and that all relevant national and international regulations (e.g. REACH, food/pharma standards) are followed in application or resale.

9. Data Protection

We process personal data in accordance with the EU General Data Protection Regulation (GDPR). For details, please refer to our Privacy Policy.

10. Applicable Law and Jurisdiction

  • These terms are governed by the laws of the Federal Republic of Germany.

  • Place of performance and jurisdiction is Hamburg, unless otherwise required by law.

11. Severability Clause

If any provision of these terms is found to be invalid, the remaining provisions remain in full force. Invalid provisions will be replaced by legally valid provisions that come closest to the original intent.
